Terms of Service

1. Acceptance of these terms
These Terms of Service (“Terms”) govern your access to and use of the Ragsha platform and related services (the “Service”), provided by Ragsha (“we”, “us”). By accessing or using the Service — or by accepting an invitation to it — you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.
2. The Service
The Service is software that helps commercial finance brokers and lenders organise deals, process documents, and review financial information to support their own credit assessments. It is a tool to assist your professional judgement.
3. Not financial, credit or legal advice
The Service does not provide financial, credit, taxation or legal advice, and does not make lending decisions. Any figures, classifications, scores, summaries or assessments produced by the Service — including AI-generated content — are aids for your review only and may be incomplete or incorrect. You remain solely responsible for verifying information and for any credit, lending or advice decisions you make. You must comply with all laws applicable to your activities, including responsible-lending and credit licensing obligations.
4. Accounts and eligibility
You must be a business user accessing the Service for legitimate commercial-lending purposes. You are responsible for your account credentials and for all activity under your account. Keep your credentials secure and notify us promptly of any unauthorised use.
5. Acceptable use
You agree not to misuse the Service: no unlawful, infringing or harmful activity; no attempts to access data you are not authorised to access; no reverse engineering, scraping, or circumventing security; and no uploading of data you do not have the right to provide.
6. Your data and confidentiality
You retain ownership of the data you upload (including borrower and applicant information). You grant us a limited licence to process that data solely to provide and improve the Service. You are responsible for having a lawful basis and any required consents to provide personal information to the Service. We handle personal information in accordance with our Privacy Policy and applicable privacy laws.
7. Third-party data and integrations
The Service may incorporate data and services from third parties (for example bank-statement, credit-bureau or business-registry providers). We do not warrant the accuracy or availability of third-party data, and your use of it may be subject to the third party’s terms.
8. Intellectual property
The Service, and all software, content and materials we provide, are owned by us or our licensors and are protected by law. These Terms do not grant you any rights in the Service except the limited right to use it in accordance with these Terms.
9. Availability and changes
We may modify, suspend or discontinue parts of the Service at any time. We aim to provide reasonable continuity but do not guarantee uninterrupted availability.
10. Disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we exclude all warranties, express or implied, including fitness for a particular purpose and accuracy of outputs. Nothing in these Terms excludes rights or guarantees that cannot be excluded under the Australian Consumer Law.
11. Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental or consequential loss, or for loss of profits, data or goodwill, arising from your use of the Service. Where liability cannot be excluded, our total liability is limited to the amount you paid for the Service in the 12 months before the claim.
12. Indemnity
You agree to indemnify us against claims, losses and costs arising from your breach of these Terms or your unlawful use of the Service or the data you provide to it.
13. Termination
We may suspend or terminate your access if you breach these Terms or if required by law. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing law
These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that state.
